Selling Terms

List Specifications:
In order for our data processing department to more easily convert your SKU list into our format we ask that you submit it to us in one of the following formats. *.xls, *csv, *txt, or *dbf. It should be set up in a standard spreadsheet format with column names in the first row and individual SKU’s on each row following. The order of the column names is not important. The spreadsheet should NOT be formatted with any macros, bold type or formulas. Column headings should include the following:

Quantity on Hand	Number of single units offered for sale
Master Pack Quantity	Quantity per box, bundle, case, etc.
Cube	Size (volume) of master pack, if known
Shipping Weight	Weight of master pack, if known
Your Part Number	This number will not be visible on the master database. It will be used to place orders with you.
Your Description	The more informative this description is, the more likely a buyer will stop and look.
Manufacturers Part Number	The part number for that item designated by the original manufacturer. Shimano or other brand name manufacturers are very important.
Manufacturer Name	This is so your items will show in a search for a specific manufacturer. Shimano is most important.
Your Price	This is the price you set for the item. Please discuss this with your BicycleSurplus.com account representative.

Data Processing Fees:
To convert your list and add it to the BicycleSurplus.com Master List for the first time, charges are:

$35 1 - 500 lines

$0.07 per line after 500

Maximum charge not to exceed $100

BicycleSurplus.com will automatically update your list as items are sold and removed from sale. If you wish to add or remove items from the list, the data processign charges will be $0.05 per line. $15 minimum charge.

Ask your account representative about our fee rebate program for qualified clients.

Introductory Offer, FREE Processing:
For a limited time we will waive the data processing fee to convert your list and add it to the BicycleSurplus.com Master List for FREE. Contact a BicycleSurplus.com account representative for details.

Conformance to Specification and Description:
Seller accepts all responsibility for condition, specification and description of any item listed for them by BicycleSurplus.com. It is the sole obligation of the seller to verify the accuracy of product condition, specification and description before shipping.

Minimum Quantities:
Seller agrees that the minimum order size will be one (1) master pack quantity (case, box, bundle or carton) and $500. If only odd lots (less than master pack) of an item are available the $500 order minimum applies.

Payment Terms:
Payment will be made in US dollars by BicycleSurplus.com to seller within thirty (30) days of receipt of merchandise by the buyer.

Shipping Agreement:
All sellers agree to process and ship all orders from BicycleSurplus.com in a timely manner. 72 hours from receipt of order should be the minimum. ALL FREIGHT IS SHIPPED COLLECT, FOB point of shipment. Unless otherwise specified the seller will ship via the least expensive carrier and method. Seller will insure shipment for the full BicycleSurplus.com order value.

Shipping Damages and Claims:
If upon receipt of merchandise, damage is found, the buyer must notify the carrier and request their adjuster to call and inspect the shipment. Carriers are responsible for concealed damage. Buyer must make claims for shortages within five (5) days of receipt of shipment. Seller will insure all shipments for the full cost of the merchandise unless the buyer requests a lower amount.

Pricing:
Seller will provide a price for each item to BicycleSurplus.com. Our representatives will help sellers determine the optimum selling price for items.

Exclusive Listing:
The seller agrees to make BicycleSurplus.com the sole agent for the sale of any products listed for a period of not less than 180 days. After that period the seller may withdraw their listing at anytime with notice in writing. If notice is not made to withdraw their list, the listing will continue until items are sold.

Mediation Policy:
BicycleSurplus.com assumes no responsibility for condition, specification or description of any merchandise brokered by BicycleSurplus.com. The buyer has five (5) business days from receipt of shipment to notify BicycleSurplus.com about any deficiency in the product. The selling company accepts all liability for any product sold. BicycleSurplus.com will act as mediator of disputes between buyer and seller. Seller agrees that buyer may refuse to accept product if it does not meet advertised specifications. BicycleSurplus.com and its suppliers shall not be liable for any consequential loss or damage, beyond credit or refund of original price.

Pricing:
Request special quotations for additional discounts on quantity requirements. All items are subject to prior sale. All prices are subject to change without notice.

Terms of Sale:
All orders will be processed by BicycleSurplus.com within 24 hours of receipt of payment. Company check, Irrevocable Letter of Credit, Credit Card or Certified check is acceptable. VISA, Master Card and American Express accepted. All prices quoted are in US dollars.

Minimum Order Quantities:
The minimum order size will be one (1) master pack quantity (case, box, bundle or carton) and $1500. If only odd lots (less than master pack) of an item are available the $1500 order minimum applies. The minimums apply to each seller. (If your order is for less than the minimum from any one seller, you may be asked to add to the order or given the opportunity to cancel the below minimum item or items.)

Restricted Sales:
Sellers reserve the right to restrict sales of any item in designated countries or through designated channels of distribution. Buyer’s identity will be disclosed in all cases of restricted sales.

Transportation Policy:
ALL FREIGHT IS SHIPPED COLLECT, FOB point of shipment. Title passes to purchaser at point of shipment, when delivery is made to common carrier.

Shipping Damages and Claims
